Non-Disclosure Agreement

NON-DISCLOSURE AGREEMENT This Non-Disclosure Agreement ("Agreement") is entered into between AI Genie Solutions LLC ("Service Provider"), located in Tampa Bay, Florida, and the undersigned client ("Client"). 1. CONFIDENTIAL INFORMATION. Each party agrees to keep confidential all non-public information shared by the other party in connection with services provided, including but not limited to: business strategies, client data, API credentials, login information, financial data, and proprietary processes. 2. NON-DISCLOSURE. Neither party shall disclose Confidential Information to any third party without prior written consent. Information shall be protected using the same degree of care used to protect the party's own confidential information, but no less than reasonable care. 3. PERMITTED USE. Confidential Information shall be used solely for the purpose of delivering agreed services and shall not be used for any other commercial purpose. 4. EXCLUSIONS. This Agreement does not apply to information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was rightfully known before disclosure; (c) is required to be disclosed by law or court order. 5. DATA SECURITY. AI Genie Solutions agrees to implement reasonable technical and organizational measures to protect Client data, including credentials and proprietary business information, against unauthorized access or disclosure. 6. TERM. This Agreement remains in effect for the duration of the service engagement and for two (2) years thereafter. 7. GOVERNING LAW. This Agreement shall be governed by the laws of the State of Florida. By signing below, both parties agree to the terms of this Non-Disclosure Agreement.
